The INTELLECT COMPANY PTE. LTD. (Company Registration No. 201918942H), a company incorporated in Singapore with its registered office at 171 Tras Street, Union Building, #02-179, Singapore 079025 (“Intellect”) offers a variety of services and activities for the care, health, wellness, education and benefit of the client (“Client”), in addition to these services, Intellect also refers professional contractors to provide services (“Contractor Services”) to the Client. In consideration of the Released Parties (as defined below) allowing Client to access the Contractor Services, Client hereby acknowledges, understands, and agrees to the following:
Acknowledgment and Assumption of Risks: The Client understands that using the Contractor Services is at his/her/its sole risk and hereby waives releases, discharges all claims, actions, rights, demands, and causes of actions for all injuries or damages related to the Contractor Services. Client assumes full and sole responsibility for all risks, foreseeable and unforeseeable, known, and unknown, inherent, or otherwise, related to the Contractor Services.

Liability Release: Client hereby RELEASE AND DISCHARGE Intellect and each of his/her/its respective affiliates, related entities, officers, employees, shareholders, representatives, managers, members, directors, owners, agents, volunteers and/or anyone else associated in any way with Intellect (the “Released Parties”), from and against all claims, damages, liabilities, injuries, losses, actions, orders, judgements, injunctions, penalties, liens, lawsuits, proceedings, expenses (including attorney fees), costs, and the like arising that Client or anyone on his/her/its behalf (including but not limited to heirs, representatives, dependents or next of kin) have or might have for any death, injury, damage (e.g. physical, psychological, emotional or property) allegedly arising out of, involving or relating Contractor Services, including, but not limited to, any claim that the act, omission or event complained of was caused in whole or in part by the strict liability or negligence in any form by the Contractor or the Released Parties.
Agreement to Indemnify: Client further agrees to INDEMNIFY, HOLD HARMLESS, AND DEFEND the Released Parties in any action or proceeding from and against all claims, damages, injuries, losses, actions, orders, judgements, injunctions, penalties, liens, lawsuits, proceedings, and costs/expenses (including attorney fees) allegedly arising from or relating to (i) Contractor’s beach of or noncompliance with any term, condition or provision of this Agreement, or (ii) Contractor’s negligent acts or omissions or willful misconduct in connection with Contractor Service. This agreement to indemnify, hold harmless and defend applies even if the act or, omission or event complained of was allegedly caused in whole or in part by the strict liability or negligence in any form by the Contractor or the Released Parties.
Governing Law, Exclusive Forum, and Waiver of Jury Trial: This Agreement and the provisions contained herein shall be construed, interpreted and controlled according to the laws of Singapore. Any cause of action relating to the interpretation or enforcement of this Agreement shall be instituted and litigated in courts located in Singapore.
Warranties and Representations: Client also represent that: (i) Client is at least eighteen (18) years old or the legal representative; (ii) have read this document; (iii) have been given an opportunity to ask questions about its contents and/or to seek the advice of an attorney; (iv) fully understand its contents and the waiver of my legal rights contained therein; (v) understand that the above release is intended to be as broad as permitted by applicable law; and (vi) voluntarily, and without any inducement, agree to the terms and conditions set forth therein.
Severability. If any provision of this Agreement is held to be invalid or unenforceable for any reason whatsoever, the remaining provisions shall remain valid and unimpaired and shall continue in full force and effect.
